Terms of Service

1. Introduction and acceptance

These Terms of Service (the "Terms") govern your access to and use of the Store, including any product pages, quotation requests, communications, and purchases made through the Store. The Store is operated by Shaoxing Heibei Textile Co., Ltd. (English transliteration; Chinese registered name: 绍兴黑贝纺织有限公司) ("we," "us," or "our").

By accessing the Store, requesting a quotation, submitting order information, approving specifications, or placing an order, you agree to these Terms. If you do not agree to these Terms, do not use the Store or place an order.

These Terms should be read together with our Refund, Return and Cancellation Policy, Shipping Policy, Privacy Policy, and any order-specific quotation or written confirmation. If there is a conflict, the order-specific written confirmation controls only to the extent of the specific matter it addresses, unless mandatory law requires a different result.

2. Eligibility and customer information

You represent that you are legally capable of entering into a binding agreement in your jurisdiction and that the information you provide is accurate, current, and complete. If you place an order on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

You must promptly notify us if any order, delivery, contact, or payment information changes before dispatch. We may rely on the information you provide when preparing and shipping your order.

3. Product information and made-to-order nature

We sell curtains and related products that may be made to order according to customer-selected or customer-approved specifications. Product descriptions, photographs, fabric images, illustrations, measurements, sample references, and digital displays are intended to help you understand the product. They do not guarantee an identical appearance under every lighting condition, on every screen, or in every installation environment.

Textile products can reasonably vary in shade, texture, weave, thickness, pattern placement, finished dimensions, and drape due to material batches, screen settings, cutting, hand finishing, production techniques, and the inherent nature of fabric. Reasonable variations that do not materially depart from the confirmed order are not defects.

We may correct clerical, typographical, pricing, availability, or product-description errors before accepting or fulfilling an order. If a material correction affects your order, we will contact you where reasonably practicable.

4. Quotations and order acceptance

A product listing, price indication, quotation, message, or checkout display is an invitation for you to make an offer to purchase; it is not a guarantee that we will accept the order. We may need to verify specifications, materials, production capacity, shipping feasibility, destination restrictions, price, and payment before accepting an order.

An order is not accepted merely because a payment authorization occurs or an automated acknowledgement is sent. We may reject or cancel an order before production for a legitimate reason, including unavailable material, incorrect price, inability to ship to the destination, payment concerns, apparent fraud, or an unresolved specification issue. If we cancel an order before production and have received payment, we will arrange a refund as appropriate and required by applicable law.

5. Specification confirmation and measurements

You are responsible for reviewing and approving all order specifications before payment. This includes measurements, units, fabric, color, lining, heading, fullness, panel count, split, opening direction, hardware compatibility, delivery address, and special instructions.

Measurements must be accurate for your particular window, track, rod, ceiling, wall, installation method, and desired finished appearance. Any measurement guidance we provide is general assistance only. It does not constitute architectural, engineering, interior-design, installation, or professional measurement advice and does not transfer responsibility for the final dimensions to us.

We are not responsible for a poor fit, unsuitable appearance, installation difficulty, or related loss resulting from measurements supplied or approved by you, incorrect installation, unsuitable hardware, structural conditions, or a later change to your requirements.

6. Prices, currency, and payment

Prices, currency, payment methods, and any included shipping arrangement are shown or confirmed during the order process. Unless we expressly agree otherwise in writing, full payment is required before production begins.

Prices may change before an order is accepted. If an obvious pricing error occurs, we may correct it and contact you before proceeding. Destination-country duties, taxes, brokerage fees, and import charges are addressed in the Shipping Policy and are not included unless expressly stated otherwise in writing.

You authorize the payment provider to process the payment information you submit. We do not control payment-provider decisions, payment-card issuer decisions, currency conversion, bank charges, or payment-service interruptions.

7. Production changes, cancellation, returns, and refunds

Once you confirm specifications and payment is received, your order is a made-to-order production order. The Refund, Return and Cancellation Policy governs requests to change, cancel, return, exchange, repair, replace, or refund an order.

You must not assume that a requested change or cancellation has been accepted until we confirm it in writing. Nothing in this section limits a right that you have under mandatory law.

8. Shipping and delivery

Shipping arrangements, free standard sea freight where eligible, air-freight quotations, customs responsibilities, delivery estimates, and delivery-related customer responsibilities are governed by the Shipping Policy.

We are not liable for delay or failure caused by events outside our reasonable control, including carrier delays, customs processes, port congestion, weather, labor disruption, public-health events, government action, conflict, supply interruption, technology interruption, force majeure, or other external events. This does not remove obligations or rights that cannot lawfully be excluded.

9. Installation, care, and use

You are responsible for ensuring that the selected curtains, tracks, rods, hooks, brackets, walls, ceilings, windows, and installation method are suitable and safe. Installation must be performed carefully and, where appropriate, by a qualified installer.

Follow any applicable care instructions supplied with the product. Damage caused by incorrect installation, alteration, improper cleaning, unsuitable use, accidental damage, neglect, or normal wear is not a manufacturing defect.

10. Intellectual property

The Store and its contents, including names, logos, text, photographs, product designs, graphics, page layouts, drawings, measurements, and other materials, are owned by or licensed to us and are protected by applicable intellectual-property laws.

You may use the Store for personal, lawful shopping purposes. You may not reproduce, modify, distribute, publish, scrape, reverse engineer, sell, license, or commercially exploit Store content without our prior written consent, except where applicable law permits it.

11. Prohibited conduct

You must not use the Store to:

• break any applicable law or infringe another person's rights;
• submit false, misleading, fraudulent, or unauthorized information;
• interfere with Store security, availability, or technical operation;
• introduce malware, harmful code, or disruptive activity;
• attempt unauthorized access to accounts, systems, or data;
• use automated tools to access or collect Store content without our authorization; or
• misuse our quotation, ordering, or customer-service processes.

We may suspend or limit access where reasonably necessary to protect the Store, our customers, our business, or others.

12. Third-party services and links

The Store, checkout, payment flow, shipping process, or communications may involve third-party service providers, such as payment processors, carriers, logistics providers, or technology providers. Their services may be subject to their own terms and privacy notices.

We do not control third-party websites or services that are not operated by us. A link to, integration with, or use of a third-party service does not mean that we endorse or assume responsibility for that service.

13. Disclaimer

To the maximum extent permitted by applicable law, the Store is provided on an "as available" basis. We do not guarantee that the Store will always be available, uninterrupted, secure, complete, or error-free.

Nothing in these Terms is intended to exclude a guarantee, representation, condition, warranty, or right that cannot lawfully be excluded or limited.

14. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profit, revenue, business, opportunity, data, goodwill, or anticipated savings arising from or related to the Store, products, or these Terms.

Where liability may lawfully be limited, our aggregate liability for a claim related to an order will not exceed the amount paid to us for the affected product or service. This limitation does not apply where prohibited by law and does not exclude liability for fraud, willful misconduct, death or personal injury caused by negligence where liability cannot be excluded, or any other liability that mandatory law does not allow us to exclude or limit.

15. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold us harmless from claims, losses, liabilities, damages, costs, and expenses arising from your unlawful use of the Store, your breach of these Terms, or information or instructions you provide to us that infringe another person's rights.

16. Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the Store or placing an order, you acknowledge that we may process personal information as described in that policy and as permitted or required by applicable law.

17. Governing law and disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules, except where mandatory law in your country or region of residence gives you protections that cannot be displaced by this choice of law.

Before starting formal proceedings, please contact heybeicurtains@gmail.com and give us a reasonable opportunity to resolve the issue. To the extent permitted by applicable law, disputes arising from or relating to these Terms, the Store, or an order shall be submitted to the people's court with jurisdiction at the registered place of Shaoxing Heibei Textile Co., Ltd. (English transliteration; Chinese registered name: 绍兴黑贝纺织有限公司) in mainland China. Nothing in this section prevents either party from seeking urgent relief where legally available or prevents a consumer from using a dispute-resolution forum that mandatory law entitles them to use.

18. Changes to these Terms

We may revise these Terms from time to time to reflect changes in our operations, legal requirements, products, or services. The version posted on the Store will show its effective or last-updated date. Changes apply prospectively unless applicable law requires a different approach.

19. Severability and no waiver

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will continue in effect.

Our failure to enforce a provision is not a waiver of that provision or any other right.
